CONSULTING AGREEMENT — GAMMA PARTNERS

1. 1. Engagement

Company engages Consultant to provide strategic advisory services as described in the attached Statement of Work.

2. 2. Compensation

Consultant shall be compensated at a rate of £1,200 per day, payable monthly in arrears upon receipt of a valid invoice and timesheet.

3. 3. Intellectual Property

All deliverables created during the engagement shall be the sole property of Company. Consultant assigns all intellectual property rights to Company.

4. 4. Termination

Either party may terminate upon 30 days written notice. Upon termination, Company shall pay for all services rendered through the effective date of termination.
